The agreement between your school and Nyotacore Solutions & Services Ltd for the use of NyoGrade.
Last updated: 10 August 2026NyoGrade is owned and operated by Nyotacore Solutions & Services Ltd, a company registered in Nigeria under RC 9315534, with its registered office at House 19, Ore-Ofe Estate, Asore, Atan, Ogun State.
These terms govern your school's use of NyoGrade. By registering a school, signing in, or using the platform in any way, you agree to them. If you are agreeing on behalf of a school, you confirm that you have the authority to bind that school.
These terms should be read together with our Privacy Policy, which explains how personal information is handled.

To register you must be an authorised representative of a legitimate school and provide accurate information about it, including its correct type and size.
Registration is completed through our sign up process. Your school is provisioned once payment is confirmed. We may decline or reverse a registration where the information given is inaccurate or where we reasonably believe the platform would be misused.
Your school controls who has an account and what each role may do.
Every significant action in the platform is logged against the user who performed it. That log is your record as much as ours, and it is the basis on which a disputed change can be resolved.
Your licence gives your school a non-exclusive, non-transferable right to use the platform for the period and the student capacity you have paid for. It does not transfer ownership of the software to you.
If you run more than one school, each school requires its own licence. Your owner account can hold several schools, and you can add a school at any time.
Your licence is issued for a particular type of school, and your class structure is created automatically to match it. A creche, nursery, kindergarten, primary or secondary licence produces the class levels appropriate to that type.
You must register for the type of school you actually operate. Using a licence issued for one type of school to run a school of a different type is a breach of these terms, and we may suspend or terminate a licence used in that way.
If your school genuinely covers more than one level, or changes its type, contact us and we will arrange the correct licensing.
We offer refunds where a school has paid but has not put the platform to real use.
Where a school has begun using the platform, the licence fee for that period is not refundable.
We reserve the right to change our prices. Where we do:
If a new price does not suit your school, you are free not to renew.
We send reminders before your licence expires. Licences do not renew automatically unless you have arranged that with us.
If a licence expires and is not renewed, access to the platform stops. Your data is not deleted immediately:
You can export your records to Excel or PDF at any time while your subscription is active. We strongly recommend exporting at the end of each session rather than relying on the notice period.
The platform lets your school generate scratch cards so parents can check results. Your school decides whether to operate in free or paid mode and, in paid mode, sets its own price.
Scratch card income is entirely a matter between your school and the parents it sells to. It does not pass through us at any point, and we have no claim on it.
Your data belongs to your school. We do not claim ownership of it, we do not sell it, and we do not use it for any purpose other than providing the platform to you.
For the records your school keeps about students, parents and staff, your school is the data controller and we are the data processor. We process those records on your instructions. Our Privacy Policy sets this out in full.
We keep backups following the 3-2-1 rule: three copies, on two types of storage, with one copy held off site.
Because your school controls the records it keeps, certain things are yours rather than ours:
The platform calculates totals, averages, positions and promotion verdicts from the scores and settings you enter. Those calculations are only ever as accurate as the data behind them, and the responsibility for what a report card says rests with your school.
You must not:
The platform, its software, its supplied report card designs and the NyoGrade name and branding remain the property of Nyotacore Solutions & Services Ltd. Your licence does not transfer any of it to you.
Where your school customises a report card design, or creates one of its own, that customisation is yours. It is stored against your school alone, is never shown to another school, and is never overwritten by updates to the platform.
Your school's own name, logo, crest and branding remain yours. You grant us permission to display them within the platform and on the documents it produces, purely so the platform can do its job.
By subscribing, you agree that we may name your school as a customer of NyoGrade, and use its name and logo, in our marketing materials, presentations, proposals, website and other sales activity.
If you would prefer us not to, write to us and we will remove your school from future materials.
We aim to keep the platform available at all times, but we do not guarantee uninterrupted access. Access may be affected by maintenance, by faults, or by matters outside our control including your own internet connection.
Where planned maintenance is likely to interrupt service, we will give notice where we reasonably can.

We aim to respond within 4 to 12 hours. Complex issues may take longer to resolve than to acknowledge, and we will keep you informed while we work on them.
We do not offer a guaranteed uptime figure or a formal service level agreement.
You may stop using the platform at any time by not renewing your licence. Section 8 explains what happens to your data.
We may suspend or terminate access where:
Except where a breach is serious or urgent, we will contact you first and give you a reasonable opportunity to put things right.
Nothing in these terms excludes liability that cannot be excluded by law.
The platform is a tool for recording and processing school data. It is not a substitute for your school's own checks. We are not liable for decisions your school makes on the basis of information it entered, including promotion decisions, or for the content of report cards your school issues.
We are not liable for loss of data where it results from your own act or omission, including failure to export records before a licence lapses.
We may update these terms as the platform changes or as the law requires. The date at the top shows when they were last revised.
Where a change materially affects your rights or obligations, we will notify subscribing schools directly rather than relying on this page alone. Continuing to use the platform after a change takes effect means you accept the revised terms.
These terms are governed by the laws of the Federal Republic of Nigeria.
